hypothetically the above or a significant enough lifestyle change + mobility up the ladder + interesting/specialized enough work to consider the 2nd firm as the exit opp (ie. staying in consulting).

But really it all depends on the person and the firms involved (ie. how much value that person puts on each brand name and how much premium he/she puts on the differences between the two firms)... What about you?
