RSUs in a Corp Dev Offer

Hi everyone

Received a corp dev offer that comes with RSUs that would vest upon exit (company looking to be bought in 5-7 years). For those who have had similar offers, how’d things pan out?

Base is solid, bonus is alright for non-IB, but unsure how to weigh the RSUs in my opinion of the opportunity.

Appreciate any insight!

You need to understand:

  • liquidity events (is an m&a exit the only liquidity option? What if it it sold in 2 years? Ipo, etc)
  • is that one off or will you get more every year?

I’m in a public co so RSUs are part of my package & vest over 3 years. And if I change job I can show them to future employer and ask to be made whole.

If you don’t have sight of liquidity event & value then it’s hard to say how useful they are as part of your package. you need some confidence that they will pay out, or that you can monetize them if you change job.

 

This 100%, Make sure to fully understand the impact and DO NOT accept just on the basis of receiving some RSUs, the company could struggle and IPO/sell for 1/10th their internal valuation (although unlikely of course) and that pot of gold becomes a drop in the bucket really quick. 

Take the job because you like the work, the people and the opportunity for advancement, not a cheap cash out in 5 years.
